H. WILLIAM MESLOH: 38 years of machine design and packaging experience as a mechanical engineer. Held positions having management responsibilities with: The Mennen Company, Kolmar Labs, Manufacturing Engineer for Shuffle Master Gaming also as Chief Engineer for Perry Industries, Inc. Provided contracted project management services to many satisfied clients. Development of: integrated packaging lines, test market packaging prototype systems, process systems, plant layout, facility expansion and numerous packaging machines.

SERVICES FEE SCHEDULE
(Effective January 01, 2001)
I- ENGINEERING SUPPORT:
Analysis and recommendations concerning manufacturing, assembly and packaging processes, manufacturing cost and staffing analysis, commercial equipment selections, vender liaison, project management, etc.
Hourly Rate @.....\\$60.00 + expenses as applied (rates may be subject to change or a retainer fee)
Daily Rate @.......\\$700.00 (short term projects, less then 30 days)
II- DESIGN:
Conceptual development and design of equipment or line layouts at home office. Design Layout, detail drawings, assembly drawings, preparation of bills of materials and technical manuals, except field measurements.
Hourly Rate @.....\\$50.00 + expenses as applied
III- MISCELLANEOUS:
Approved Support Staff (if required).... \\$32.00 per hour
Travel Time....................................... ...\\$45.00 per hour
Living Expenses (excluding lodging).. ...At Cost

IV- TERMS:
Unless otherwise specified Fees will be invoiced weekly, each Monday for the preceding week. The first payment is due within one week of the initial invoice, payments will then be weekly. Any late payments will be payable upon demand. Checks to be made payable to: H. William Mesloh and or HWM Associates. Invoice will be supplied with weekly time sheet and expense report with receipts.
